Primark Demerger Marks A Clear Break In Strategy For ABF

Associated British Foods has confirmed it will proceed with a demerger of Primark, separating its retail business from its food and ingredients operations, with both expected to list independently by the end of 2027.

The decision brings clarity to a structure that has long held two very different businesses together. Retail and food operate on separate timelines, respond to different pressures, and require distinct strategic focus. The demerger recognises that difference and formalises it.

Chairman Michael McLintock described the move as a way to maximise long term returns, pointing to Primark’s scale today and the need for a clearer understanding of the food business. Chief Executive George Weston positioned the demerger as a step that allows both sides to operate with greater independence and purpose.

For Primark, the shift is significant. As a standalone business, it gains direct control over its governance, investment strategy, and operational direction. With hundreds of stores across multiple markets, its model depends on speed, precision, and the ability to respond quickly to changing consumer demand. The demerger removes the constraints of a broader group structure and allows that focus to sharpen.

On the other side, the food business becomes a defined entity in its own right. Without retail alongside it, it moves into position as a pure play food group within the FTSE 100, built around a portfolio that spans brands, ingredients, and supply chains. That clarity is expected to strengthen how the business is understood and valued.

The move also reflects a wider shift across the retail landscape. Large, diversified groups are increasingly being pushed toward more specialised structures, where depth and focus take priority over scale alone.

Melissa Minkow, Global Director of Retail Strategy and Insights at CI&T, explains:

“Today’s confirmation of the Primark demerger reflects a growing challenge in retail. Managing fundamentally different businesses under one structure makes it difficult to quickly and continually develop equal strengths in both markets. Several firms are being forced to weigh this type of decision.

We have entered a retail era where specialisation and depth are required to achieve agility. As a standalone business with hundreds of stores across 19 markets, Primark now has the platform to pursue that with greater focus. This move reflects a broader shift towards more responsive retail models that rely upon extreme technological precisi on.”

The demerger sets a clear direction. Primark moves forward independently, with the freedom and responsibility that comes with it. The food business does the same, positioned to grow on its own terms.

The structure has changed. What follows will determine how effective that separation proves to be.
